Midwest Lab Equipment (MLE) thanks you for your business. Midwest Lab Equipment specializes in the sales, service, and repair of histology equipment (such as cryostats, microtomes, tissue processors, etc.) and other laboratory and scientific instruments. Our service area includes all states with reasonable travel rates. We feel the quality of our work and the value we place on our customer relationships speak for themselves and we welcome the opportunity to provide a quotation for our products or services.

Our equipment is checked, repaired, refurbished by biomedical engineers with more than 20 years experience in this field. The equipment is fully inspected, updated to current safety standards, function tested, and cosmetically enhanced. The final refurbished equipment meets or exceeds the manufacturer’s specifications.

Sales Terms and Conditions
Terms:
a. Customer acknowledges that the equipment purchased from Midwest Lab Equipment is used unless stated by Midwest Lab Equipment (MLE) to be new equipment.
b. Terms of payment are “prepayment” – payment has to be received before shipment, unless otherwise stated. If the payment term is due “NET 30” for customers with Purchase Order Numbers (PO), and the payment is not received by the due date, the customers are subject to an initial late payment fee of 1.5% of the invoice total, and 2% for each additional  two weeks after the term expires, but not exceeding the maximum lawful rate.
c. Midwest Lab Equipment reserves the right to change prospectively the published prices, discounts, terms and product availability at any time without prior notice.

Warranty:
Midwest Lab Equipment (MLE) warrants the equipment shall be free from defects in material and/or workmanship under normal use and service for a period stated in the customer quotation. The Warranty period commences at the time of delivery. Extended warranty periods are available. Defects or discrepancies must be reported to Midwest Lab Equipment in writing within 3 days of customers received the equipment, or else it will be conclusively presumed that the equipment was received in good condition and accepted.

Midwest Lab Equipment will, at its discretion, repair or replace any unit covered under this warranty returned to Midwest Lab Equipment with shipping costs prepaid by the customer. Repaired or replaced instruments supplied under this warranty carry only the remaining portion of the original warranty and repairs shall not interrupt or prolong this warranty.

No warranty extended by Midwest Lab equipment shall apply to any instrument that has been damaged due to operator error, abuse, neglect, improper operation, incorrect repair by non-Midwest Lab Equipment personnel, or failure to perform normal operator maintenance of the instrument. Services performed or statements made by Midwest Lab Equipment shall in no case be construed as a guarantee of safe or effective equipment performance. Degradation of performance or development of hazards may occur in the course of normal use and operator competence is often a limiting factor in safety and performance.
Under no circumstances is the customer authorized to break the warranty seals on the equipment without prior approval of Midwest Lab Equipment. The warranty shall be made void if upon the company’s inspection it is determined the customer removed the equipment exterior panels without authorization from the company. Midwest Lab equipment is not responsible for any repair or service costs incurred by customer, whether or not the item is under warranty, without prior written authorization from Midwest Lab equipment.

Non-payment or delinquent payment (10 days or more past the agreed terms) “voids” warranty. In case of shipping damage, warranty does not apply.
It is the customer’s responsibility to contact freight forwarder promptly and register a claim.
Midwest Lab Equipment will not be liable for any loss or damage whatever by reason of its failure to discover, report, repair or modify latent defects inherent in the design of the equipment. Midwest Lab Equipment (MLE) warrants parts and labor during the warranty period.
All sales to overseas receive functionality guarantee only as described in your original quotation and do not ship with any implied warranty. Warranty resolution may involve billable charges to you that include parts, or labor, and/or travel, shipping charges or any combination thereof. A requested service visit during warranty finding no problem with instrumentation will result in a service charge for time, travel and expenses.
MLE is not responsible for customers packaging negligence or carrier inflicted damage on any returned item. The Customer will be billed for repair of the item(s) damaged during return.
Shipment:
Midwest Lab Equipment ships F.O.B. origin point. In F.O.B. origin point, title transfers at the time and place of shipment. Should damage or loss occur during transportation, it is between the customer and the transportation company to settle. Delivery and shipment charges are payable by customer. Midwest Lab Equipment shall ship in accordance with the customer’s shipping instructions. You may select your own carrier. In the absence of specific instructions, MLE reserves the right to ship by the most appropriate method with reputable common carrier. If the equipment is picked up locally from our office with customer’s transportation, Midwest Lab Equipment is not responsible for damages of the delivered goods.
Order cancellation/Returned goods policy:
Midwest Lab Equipment offers 14 days right of return policy. If within 14 days the equipment is found to be defective or purchased due to selection error or buyer’s remorse, the equipment upon receipt of authorization and Return Merchandise Authorization Number (RMA) may be returned to Midwest Lab Equipment. Customer is responsible for the shipping costs related to the returned goods. Upon receipt of the returned equipment, Midwest Lab Equipment may, at its discretion, provide a replacement unit to the customer or provide credit to the customer’s account for the purchase price  of the equipment less 25% restocking fee. Items sent “blind” without accompanying RMA will be rejected and will be returned.

Limitation of Liability:
Midwest Lab Equipment shall not be liable for any loss of use, revenue or anticipated profits, or for any consequential or incidental damages resulting from the use of the equipment. The customer will be deemed liable for any and all claims, losses, or damages incurred by the use or misuse of the instrument by the customer, its employees or others, following the receipt of the instrument or other items.
Under no circumstances, and in no event, will MLE be liable for personal injury or property damage or any other loss, damage, cost of repairs or incidental, punitive, special, consequential, or liquidated damages of any kind, whether based upon warranty, contract, negligence or any other cause of auction arising in connection with the design, manufacture, sale, transportation, installation, use, or repair of the products sold by the seller.

The good(s) sold under the agreement were originally purchased by MLE from other sources and are being sold under circumstances which do not permit investigation of possible risk under patents or copyrights or current status.
Indemnification:
Seller shall not be responsible for any losses or damages sustained by the Buyer or any other person as a result of improper installation or misapplication of the equipment. Buyer shall defend, indemnify and hold harmless Seller and its agents against any loss, damage, claim, suit, liability, judgment or expense (including, without limitation, attorney’s fees) arising out of or in connection with any injury, disease or death of person (including, without limitation, Buyer’s employees and agents) or damage to or loss of any property resulting from or in connection with the sale, use and repair of the product.
Buyer agrees to pay Seller’s reasonable attorney fees and other costs and expenses incurred by Seller in connection with the enforcement of this Agreement, whether or not suit is ultimately filed.
Entire Agreement:
This Agreement (which consist of  Buyer’s  Invoice / on line order, Midwest Lab Equipment Terms and Conditions) constitutes the entire understanding between the parties and supersedes all proposals, oral or written and all other communications between the parties relating to the subject matter. Any modifications of this Agreement must be in writing and signed by all parties to this Agreement. The Terms and Conditions of this Agreement will govern Buyer’s order and any provision of Buyer’s own purchase order, which in any manner differs from, or is in addition to the provision of the Agreement, shall be of no force or effect. With an on-line order from www. midwestlabequipment.com Buyer expressly agrees to be bound by the terms and conditions hereof, not withstanding any terms and conditions in Buyer’s purchase order form to the contrary. Seller’s acceptance of Buyer’s order is expressly made conditional of Buyer’s consent to the terms of this Agreement. Any acknowledgment, which in a manner differs from or is in addition to the provision(s) of this Agreement shall be in force or effect.
Force Majeure
The MLE shall be excused for non- or late delivery directly or indirectly caused by events or circumstances beyond the Company’s reasonable control, including but without limitation supplier’s delays and trade disputes whether of the Company’s employees or otherwise. For the purpose of this condition, “Force Majeure” shall mean natural phenomena, acts of God , war, riot, earthquake, accidents, strikes, and industrial disputes, or any other cause whatsoever not under our control.
